Legal terms and conditions for using Spectyr

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Spectyr Inc. ("Company," "we," "us," or "our"), concerning your access to and use of the Spectyr service as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

By accessing the Service, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Important: Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.

2 Description of Service

Spectyr provides a specialized security platform for Google Workspace environments. The Service includes but is not limited to:

  • OAuth application discovery and analysis
  • Security risk assessment and scoring
  • Application usage monitoring and reporting
  • Administrative controls and user management
  • Compliance reporting and audit trails
  • Network visualization and dashboard interfaces

The Service is provided on a software-as-a-service (SaaS) basis and is accessible through web browsers and supported devices.

3 Eligibility

By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • You are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction
  • You will comply with these Terms and all applicable local, state, national, and international laws and regulations

4 User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.

You must immediately notify us of any unauthorized uses of your account or any other breaches of security.

5 Acceptable Use Policy

You may not use the Service:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To collect or track the personal information of others
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose
  • To interfere with or circumvent the security features of the Service

Violation Consequences: We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

6 Subscription and Payment

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis. Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a subscription.

At the end of each billing cycle, your subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it.

All fees are non-refundable. In the event of a dispute regarding charges, you have 60 days from the date of the charge to dispute it.

We reserve the right to change our subscription plans or adjust pricing for our Service at any time. Any price changes will apply to subsequent billing periods and we will provide you with reasonable prior notice.

7 Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Spectyr Inc. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

8 Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

9 Disclaimers

The information on this Service is provided on an "as-is" basis. To the fullest extent permitted by law, this Company:

  • Excludes all representations and warranties relating to this Service and its contents
  • Excludes all liability for damages arising out of or in connection with your use of this Service

No Warranty: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED.

10 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT AND UNDER NO THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE, SHALL THE COMPANY BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.

11 Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

  • Your use of the Service
  • Breach of these Terms
  • Your violation of the rights of a third party, including but not limited to intellectual property rights
  • Any overt harmful act toward any other user of the Service with whom you connected via the Service

12 Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13 Governing Law

These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
